Distance Digital Services Sales Agreement

1. PARTIES

1.1. USER The USER is the person who actually uses the purchased Langium service. The BUYER and the USER may be the same person. Where the USER is under 18 years of age, the purchase must be completed by a parent or legal guardian. The BUYER represents and declares that they are authorised to act on behalf of the minor and to approve this Agreement.

2. DEFINITIONS

Langium: the website at https://langium.ai/, its application and related digital services. Digital Service: IELTS preparation content, AI-assisted Writing and Speaking assessments, mock examinations, performance reports and related features. Package: a fixed-term digital service package that provides access to Langium's paid features for the period selected by the BUYER. User Content: texts, voice recordings, answers and other content entered into or uploaded to the system by the USER. Preliminary Information Form: the document provided before payment that sets out the essential characteristics, duration and price of the service, the payment method, the statutory withdrawal exception and the terms of the 10-day partial refund right.

3. SUBJECT MATTER AND LEGAL BASIS

The subject of this Agreement is to determine the rights and obligations of the parties regarding the provision of the fixed-term digital service package purchased electronically by the BUYER through Langium. This Agreement has been prepared under Law No. 6502 on Consumer Protection, the Regulation on Distance Contracts and other applicable legislation. The Preliminary Information Form, order summary, Langium Terms of Use and Langium Digital Delivery and Refund Policy form an integral part of this Agreement.

4. SCOPE OF THE SERVICE

Langium provides digital education services for English language learning and IELTS preparation. The purchased package may include all or some of the following: IELTS preparation content; AI-assisted Writing assessments; AI-assisted Speaking assessments; mock examinations; student performance and progress reports; teacher or institution panel access; other digital education features specified on the purchase screen. The exact scope, duration and price of the purchased package are stated in the order summary and the Preliminary Information Form shown to the BUYER before payment. No ownership right in the Langium software or content is transferred to the USER. The USER is granted only a personal, limited, non-transferable and non-exclusive right of use valid for the package term.

5. PACKAGE AND ORDER DETAILS

6. FORMATION OF THE AGREEMENT AND PRELIMINARY INFORMATION

Before payment, the BUYER may review the Preliminary Information Form, this Agreement, the Langium Terms of Use, the Personal Data Protection Notice and the Digital Delivery and Refund Policy electronically. The Agreement is formed when the BUYER provides the required electronic approvals and completes the payment transaction. Before confirming the order, the BUYER is informed of the essential characteristics, duration and total price of the package, the payment method, the immediate commencement of the service, the statutory withdrawal exception and the terms of the contractual 10-day partial refund right granted by the PROVIDER. A copy of the Agreement is sent to the email address provided by the BUYER or made accessible through the Langium account.

7. PRICE, PAYMENT AND DIGITAL DELIVERY

The package price is the total amount, including VAT, displayed on the purchase screen and in the Preliminary Information Form. Payment is made by bank or credit card through the iyzico infrastructure. Card processing and payment security are handled through the infrastructure of the relevant payment service provider and bank. Once payment is successfully approved by iyzico, the package is assigned to the Langium account and the paid features included in the package are made available immediately. Digital delivery is deemed completed when these steps have been completed. Unless a different start date is stated in the order details, the package term begins on the date the payment is approved. Access may not be activated or may be suspended if payment is not approved, is cancelled, unauthorised card use is identified or the package price is not transferred to the PROVIDER. The PROVIDER may change the scope and prices of packages offered in the future. Such changes do not apply retroactively to packages already purchased and paid for.

8. PACKAGE TERM AND RENEWAL

Langium packages are fixed-term digital service packages valid for the period displayed on the purchase screen. The package automatically expires on the stated end date. No new charge is automatically collected from the BUYER's bank or credit card, and the package is not automatically renewed or extended. A BUYER who wishes to continue using Langium must manually purchase a new package. The new purchase is subject to the package scope, price and contractual terms applicable on the date of that purchase.

9. RIGHT OF USE AND UNLIMITED USE

During the purchased package term, the USER may use the services included in the package without a numerical usage quota. Unlimited use means normal, personal educational use by a single USER. The following are not included within unlimited use: (1) sharing the account with another person or use of the account by multiple persons; (2) using bots, scripts, automation tools or similar methods; (3) bulk or systematic copying of Langium content; (4) reselling the service or making it commercially available to third parties; (5) use that adversely affects platform security, technical capacity or other users' access. Restrictions imposed for security or misuse prevention are applied only to the extent necessary and do not create an arbitrary quota that prevents normal personal educational use.

10. WITHDRAWAL, CANCELLATION AND REFUND

Langium services are digital services made available electronically and immediately after payment approval. Therefore, under the exception in the Regulation on Distance Contracts for services performed instantly in electronic form, the BUYER may not exercise the statutory right of withdrawal. Nevertheless, as an additional contractual right, the PROVIDER grants the BUYER the right to cancel the package within 10 days from the date and time the purchase is completed and receive a refund equal to 80% of the package price actually paid. The cancellation and partial refund request must be sent before the 10-day period expires to info@prep-test.com or through the support form provided by Langium. The request must include the BUYER's full name, the email address used for the Langium account and the order number. The 10-day period is calculated from the date and time the payment is approved by iyzico. Following a timely request, package access is terminated and 80% of the total amount actually paid by the BUYER after discounts or coupons is refunded. The remaining 20% is not refunded, as consideration for the immediate activation of the service, keeping the package features available until the refund request and the digital services provided during that period. The refund is initiated within no more than 14 days after the request reaches the PROVIDER, through iyzico and to the payment instrument used for the purchase. The time required for the refunded amount to appear in the bank or card account depends on the processing times of the relevant financial institution. After the 10-day period expires, no standard cancellation or refund right is available. Failure to use the service, failure to log in, a change in usage preference, no longer needing the package, deciding not to take the examination or not using all or part of the package term does not create a refund right. The BUYER's rights arising from mandatory consumer law that cannot be waived by contract remain reserved. Where mandatory legislation requires a different or higher refund, the applicable legislation prevails. Purchase-screen notice: "I have read and accept that the Langium service will be made available immediately after payment, that the statutory right of withdrawal is excluded, and that 80% of the amount I paid will be refunded if I submit a cancellation request within 10 days from the purchase date."

11. AI-ASSISTED ASSESSMENTS

Writing and Speaking assessments offered by Langium may be generated by artificial intelligence-assisted systems. IELTS band estimates, scores, error identification, explanations, sample answers and improvement recommendations are provided solely for educational and study-support purposes. They are not official IELTS results and do not guarantee that the USER will achieve any particular result in the actual examination. Assessments may be affected by voice quality, background noise, microphone characteristics, connection quality, answer length, writing style and expression. Unless expressly stated by Langium, the assessments are not assessments made by a human teacher or official IELTS expert. AI-generated outputs may contain errors or omissions.

12. TEACHER AND INSTITUTION PANEL

If the USER is linked to a teacher or institution account, an authorised teacher or institution representative may, within the granted permissions, view the USER's mock examination results, Writing and Speaking assessments, study progress and performance reports. The USER or the parent/legal guardian is informed of the scope of this access before the USER is added to an institutional account. Institutional bulk purchases may be subject to a separate institutional services and licence agreement.

13. OBLIGATIONS OF THE BUYER AND USER

(1) provide accurate and up-to-date information during registration and purchase; (2) keep the username and password confidential and not share the account with third parties; (3) notify the PROVIDER upon becoming aware of unauthorised account use; (4) use Langium lawfully and for educational purposes; (5) not upload writings, voice recordings or other content belonging to another person without the required permission; (6) not attempt to bypass platform security systems or reverse engineer the software; (7) not upload malicious software, unlawful content or material that infringes third-party rights; (8) not reproduce, publish or commercially use Langium content without authorisation. If these obligations are seriously or repeatedly breached, the PROVIDER may temporarily suspend the account or terminate access. This does not automatically create a right to a refund.

14. USERS UNDER 18 YEARS OF AGE

Langium may be used by persons under 18 years of age. A paid package must be purchased by a parent or legal guardian. The parent or legal guardian confirms that they are authorised to act on behalf of the minor, approve this Agreement, have provided accurate information and will ensure that the USER uses Langium in accordance with this Agreement. Personal data, voice recordings, written answers and performance information relating to a minor USER are processed under the terms stated in the Langium Personal Data Protection Notice.

15. INTELLECTUAL AND INDUSTRIAL PROPERTY RIGHTS

All intellectual and industrial property rights in the software, source code, trademarks and logos, course content, questions, mock examinations, explanations, images, audio, video, designs, reports, databases and AI assessment systems available through Langium belong to the PROVIDER or the relevant right holder. The USER may not copy, reproduce, publish, distribute, sell, lease, download in bulk, use in another education or artificial intelligence system or systematically archive this content. In the event of infringement, the PROVIDER may terminate access and pursue legal remedies for demonstrable losses.

16. USER CONTENT AND PERSONAL DATA

Writing texts, Speaking voice recordings, examination answers and other content uploaded by the USER to Langium may be processed for providing the service, carrying out assessments, preparing reports, providing technical support and maintaining platform security. Where User Content is to be used for advertising, promotion, success stories or model-development activities not necessary for providing the service, separate appropriate permission or explicit consent is obtained. Personal data are processed under Law No. 6698 on the Protection of Personal Data, applicable legislation and the Langium Personal Data Protection Notice. Acceptance of this Agreement does not constitute general explicit consent for all processing activities that legally require explicit consent.

17. TECHNICAL REQUIREMENTS, MAINTENANCE AND SERVICE CHANGES

Use of the service requires an internet connection, a compatible device, an up-to-date web browser and, for Speaking features, a working microphone and the necessary permissions. The PROVIDER is not responsible for problems arising from the USER's device, internet connection, microphone, browser or system settings, provided that the problem is not caused by the PROVIDER's software, instructions or fault. Temporary interruptions may occur for software development, security, maintenance, technical improvement or content updates. Planned and significant interruptions are announced in advance where reasonably possible. The PROVIDER may update educational content and platform features. Such changes will not be applied in a manner that removes the essential functions of a previously purchased package to the detriment of the BUYER.

18. FORCE MAJEURE

Natural disasters, war, acts of terrorism, epidemics, decisions of public authorities, general power or internet outages, telecommunications infrastructure failures, large-scale cyberattacks and similar events beyond the PROVIDER's reasonable control constitute force majeure. If the service is temporarily unavailable due to force majeure, the PROVIDER will use reasonable efforts to restore access. Rights arising from mandatory legislation remain reserved.

19. ELECTRONIC COMMUNICATIONS

The PROVIDER may send service notifications to the BUYER or USER regarding payment and invoicing, account security, password procedures, package start and expiry, cancellation and refund requests, maintenance, service updates, support and complaints. Separate consent is obtained as required by applicable legislation for commercial electronic communications relating to advertising, campaigns and marketing. Such consent is not a condition of purchasing a package.

21. ELECTRONIC RECORDS

The PROVIDER may retain, for the period required by applicable legislation, records of approvals of the Agreement and preliminary information, information and approval records concerning the withdrawal exception and 10-day partial refund terms, cancellation and refund requests, order and payment information, the Agreement version, date and time data, and electronic access records. Electronic records may be evaluated as evidence under the applicable procedural rules. This provision does not restrict the BUYER's statutory right to submit evidence or prove a claim.

22. RESOLUTION OF DISPUTES

Turkish law applies to disputes arising from this Agreement. A BUYER who qualifies as a consumer may apply to the Consumer Arbitration Committee or Consumer Court at the BUYER's place of residence or the place where the consumer transaction was carried out, in accordance with the monetary thresholds in force on the application date. Provisions on mandatory mediation as a condition precedent to litigation remain reserved.

23. ENTIRE AGREEMENT AND EFFECTIVE DATE

This Agreement, together with the Preliminary Information Form, order summary, Langium Terms of Use, Personal Data Protection Notice and Langium Digital Delivery and Refund Policy, constitutes the entire agreement between the parties. If there is a conflict between these documents, mandatory provisions of applicable law prevail. If any provision of the Agreement is invalid, the remaining provisions remain valid. The Agreement enters into effect upon the BUYER's electronic approval and completion of payment. Access to the paid service ends at the expiry of the package term or, where the 10-day cancellation and partial refund right is exercised, upon cancellation of the package. A copy of the Agreement is sent to the BUYER's email address or made accessible through the Langium account.
